  1. Description of Competition – Ballistiq Digital Inc., a Canadian corporation operating the ArtStation platform, (the “Sponsor”) is offering the “ILM Art Department Challenge” (the “Competition”.) This is a skill-based Competition in which original artworks submitted by eligible registered entrants (“Entrants”) will be judged based on the judging criteria set out in Section 6 of these Official Rules (“Rules”). The Competition is available exclusively on > www.artstation.com > (the “Sponsor Site”).

This Competition is designed to simulate working in a top-class art department on a major motion picture. It will consist of multiple challenges (the “Challenges”) that simulate the requests and deadlines that production art departments face. Industrial Light & Magic, a division of Lucasfilm Entertainment Company Ltd. LLC (“ILM”), will provide general art direction (the “Art Direction”) for the Challenges, which may include directions to create artwork based on intellectual property owned by Lucasfilm Ltd. (“Lucasfilm IP”).

The Competition shall run between May 18, 2016 and August 11, 2016, (the “Competition Period”), and shall consist of three (3) Challenges. All eligible Entrants shall enter Submissions (defined below) in the First Challenge. The First Challenge Submissions shall be judged, and the judges shall select individuals (the “Semifinalists”) to move on to the Second Challenge. The Semifinalists shall then enter Submissions in the Second Challenge which shall be judged, and from the Semifinalists the judges shall select individuals (the “Finalists”) to move on to the Final Challenge. The Finalists shall then enter Submissions for the Final Challenge which shall be judged, and from the Finalists the judges shall select Winners (defined below) to receive Prizes (defined below). Each challenge shall have a submission period (the “Submission Period”), and a judging period (the “Judging Period”) as follows:

  1. Eligibility - NO PURCHASE OR FEE NECESSARY TO PARTICIPATE IN THIS COMPETITION. By entering the Competition, each Entrant agrees to abide by the terms of these Rules, which are final and binding on all matters relating to the Competition. The Competition is also governed by the Sponsor Site’s Terms of Service, Privacy Policy, and other policies (collectively, the “Policies”); however, these Rules will govern any conflict between the Rules and the Policies.

The Competition is open to only registered members of Sponsor’s Site who are (i) individual legal residents of the 50 United States, the District of Columbia, or Canada, excluding Quebec, or other countries where the Competition is not prohibited or restricted by rule, law or regulation; (ii) the age of majority(1) in their jurisdiction of residence; (iii) not subject to any contractual relationships (as determined in Sponsor’s sole discretion) which could interfere with or prohibit Entrant from entering and fully participating in the Competition. Entrants from countries that are currently on any embargo lists from the United States or Canada are considered automatically disqualified and any entries from such Entrants will be rejected. Employees, directors, officers, judges, agents and representatives (and Immediate Family Members and those living in the same Household of each) of the Sponsor, its advertising agencies and its suppliers, ILM and any other entity involved in the design, execution, production, judging or administration of the Competition and of each of their respective parents, subsidiaries, and affiliated companies are not eligible. For purposes of these Rules, an Immediate Family Member is a spouse, domestic partner, parent or legal guardian, child, sibling, step-parent, step-child, or step-sibling of an Entrant. For purposes of these Rules, a member of Entrant’s “Household” is any person with the same residence as Entrant for a period of at least three months in a twelve month period.

(1)Note: The age of majority is 19 years in British Columbia, New Brunswick, Newfoundland, Northwest Territories, Nova Scotia, Nunavut and Yukon Territories, Nebraska and Alabama, 21 years in Mississippi, and 18 years in Alberta, Manitoba, Ontario, Prince Edward Island, Quebec and Saskatchewan and in all other states in the US and DC.

The Competition is void anywhere the Competition is prohibited or restricted by rule, law or regulation.

  1. How to Register and Make a Submission - Follow the instructions on the Sponsor Site to create a user name and password for use in the Competition. Once registered, use the registration credentials to enter the Competition, by following the instructions on the Sponsor Site (“Registration”; and an Entrant who has completed Registration is “Registered”). Any attempt by any Entrant to fraudulently participate in the Competition by using multiple/different/duplicitous e-mail addresses, the use of multiple identities, registrations and logins, or any other methods will void that Entrant’s participation and that Entrant may be disqualified from this Competition and any other ArtStation competition.

Registrations that are incomplete, contain irregular or invalid information, or are corrupted are void and will not be accepted. It is the Entrant’s sole responsibility to maintain accurate Registration information throughout the Competition.

Once Registered, an Entrant may enter the Competition by submitting an original artwork (the “Submission”) for each Challenge that the Entrant is eligible to enter and that meet the requirements set out in Section 5 (Submissions) below.

Entrants are solely responsible for ensuring that Registrations are properly completed and Submissions are properly submitted as described above. Sponsor will not be responsible for any lost, delayed, misdirected, illegible, incomplete, damaged or undeliverable Registrations or Submissions, or any delay or failure to transmit, process, receive or consider Registrations or Submissions.

  1. Privacy - By entering the Competition, Entrant agrees to the use of Entrant’s personal information for use in administering the Competition and as described in the Privacy Statement (available at > www.artstation.com/privacy> ), including transfers of personal information to the United States and Canada. Entrant may be presented with a specific privacy notice regarding information sharing when accessing social media platforms in order to share or post on such platforms. Sharing and other activity on social media platforms is pursuant to the terms of service and privacy policies of the relevant social media platform. Sponsor is not responsible for the information practices of those social media platforms, and unless otherwise specified, the Competition is not endorsed by or affiliated with such social media platforms.

  2. Submissions - In order to enter this Competition, Entrants must submit a Submission in the First Challenge through the Sponsor Site. Entrants, Semifinalists and Finalists (as applicable) may only submit one Submission per Challenge during the applicable Submission Period, and the Sponsor may disqualify an Entrant that submits (or attempts to submit) multiple Submissions in a single Challenge. Valid Submissions will be collected during the applicable Submission Period and Submissions submitted outside of any Submission Period will not be considered. Once each Submission Period is completed, a panel of judges selected by the Sponsor will judge the Submissions to decide the Semifinalist, the Finalists and the Winners (defined below). The decisions of these judges are final and binding and not appealable in any fashion.

For each Challenge each Submission must meet all of the following requirements:

(a) With the exception of the Art Direction and any other instructions posted for Submissions, the Submission must be the Entrant’s own work, created solely by the Entrant and not derived in whole or part from any third party’s work, and Entrant must have the legal right and any permissions necessary to submit the Submission into the Competition.

(b) The Submission must not have been previously published or received previous awards or prizes.

(c) The Submission must not have been used as a Submission in any other contest organized by the Sponsor, including, without limiting the generality of the foregoing, any other ArtStation Challenge.

(d) The Submission must not, in whole or in part, infringe the copyright, trade-mark, privacy, publicity, or other personal or proprietary rights of, or defame, any person or entity.

(e) The Submission must not, in the sole discretion of Sponsor: (a) be (or encourage or promote activities that are) abusive, harassing, threatening, and invasion of a right of privacy, bigoted, hateful, violent, vulgar, obscene, pornographic or otherwise sexually explicit, harmful or reasonably expected to harm another person or entity, disparaging, discriminatory, offensive, illegal or otherwise objectionable to Sponsor; (b) contain any content that violates any law or any third party’s rights; (c) promote or refer to any commercial enterprises other than as permitted by these Rules; (d) contain, depict or refer to any content that disparages, defames, or refers negatively to Sponsor, ILM, Lucasfilm Ltd., the Competition, persons or entities involved in the Competition, or any other person or entity (all as determined by Sponsor in its sole discretion); (e) contain, depict, promote, encourage or refer to any criminal activity; or (f) contain URLs, text or logos laid over the artwork or as watermarks.

(f) If an identifiable person appears in, is mentioned in, or otherwise contributes to the Submission (a “Third-Party Participant”), Entrant is responsible for, and must have obtained, prior, written approval from, any such Third-Party Participant (or such Third-Party Participant’s parent if such person is a minor). By entering, Entrant represents and warrants that Entrant has obtained such permission and all other necessary authorizations from any Third-Party Participant (or such Third-Party Participant’s parent if Third-Party Participant is a minor) allowing use of such Third-Party Participant’s name, likeness or contribution in the Submission, and Entrant and each Third-Party Participant (or such Third-Party Participant’s parent if Third-Party Participant is a minor) agree to and do hereby assign all rights for usage to Sponsor. Entrant may be required, at any time, to provide Sponsor with evidence of all such written permission(s) and authorizations immediately upon request, or Entrant may be disqualified and rendered ineligible to receive a prize in this Competition.

(g) The Submission must meet all other criteria posted in connection with the Competition.

Sponsor may disqualify any Submission if Sponsor determines (in its sole discretion) that the Submission does not comply with these eligibility requirements, with other posted instructions, or otherwise with these Rules. In the event that a winner is disqualified, the prize will be forfeited and may or may not, at Sponsor’s sole discretion, be awarded to an alternate winner selected from among the remaining eligible Submissions.

  1. Judging Criteria – By entering the Competition, Entrant agrees to the following judging criteria, which shall be used for each Challenge:

i. Judging will be performed by a panel of expert judges selected by the Sponsor.

ii. Judges will score potential winning Submissions based on the following (the “Score”):

(A) ability to follow the Art Direction or other posted instructions (33%),

(B) quality of composition, complexity and design, (33%); and

(C) overall impression of originality, creativity and artistry (34%).

In the event of a tie, the tie will be broken by the Judges based on the third Criteria—the overall impression of originality, creativity and artistry. The decisions and determinations of Sponsor and its judges in all matters of the Competition are final and binding.

  1. Use of Entries and Entrant Information - To the maximum extent permitted by law, by entering the Competition, Entrant agrees to the following:

i. Subject to Section 7.ii below, Entrant retains ownership of the Submissions and related materials mentioned in Section 7.ii.

ii. By submitting the Submissions, regardless of whether the Submissions are selected for advancing to a subsequent Challenge or for a prize, Entrant grants to Sponsor, and its sponsors, ILM, Lucasfilm, and their respective agents and representatives, a worldwide, non-exclusive license to use, reproduce, communicate, modify and display the Submissions (and any related material, including project information, explanatory material, images, photos and/or videos, as well as any personal information obtained through the Competition) without any fee or other form of compensation, and without further notification or permission, for promotional purposes, including conducting, promoting and judging the Competition and advertising the Competition, future contests, and products and services. Notwithstanding the foregoing, if the Art Direction requests Submissions based on Lucasfilm IP, ILM grants Entrant a limited, non-exclusive license to create the Submission using the Lucasfilm IP for purposes of creating a Submission for this Competition only, provided that Entrant’s use of such Lucasfilm IP is conditioned upon Entrant assigning to Lucasfilm Ltd. all rights in and to the Submission (if such rights are not assigned to Lucasfilm Ltd., Entrant’s license to create the Submission using Lucasfilm IP shall be null and void).

iii. The Sponsor is not required to return to the Entrant all or any part a Submission to the Competition.

iv. Entrant grants the Sponsor, ILM, Lucasfilm Ltd., or any third party chosen by the Sponsor the non-exclusive right to make audio, video, photographic, or other recordings of the Entrant (collectively, the “Renderings”) which may feature or simulate Entrant’s name, voice, likeness, image, gestures, mannerisms, signature, written or spoken words, biographical information, or other aspects of Entrant’s persona (collectively, the “Depiction”) and/or to use such Renderings and Depiction in connection with any or all of Sponsor’s internal or external advertising, marketing, promotional, PR and/or sales materials in all media and by all means (now known or hereafter devised).

v. Except where prohibited by law, participation in the Competition constitutes a winner’s consent to the publication in any media form of such Entrant’s full name, address, voice, photograph, biographical material, and likeness by the Sponsor or any third party chosen by the Sponsor, on any winner list, advertising, marketing, and other materials without additional compensation or notice. Other than as set forth herein, the Sponsor will individually treat any personal information supplied by Entrants according to each of their respective privacy policies.

ii. By submitting the Submissions, regardless of whether the Submissions are selected for advancing to a subsequent Challenge or for a prize, > Entrant grants to Sponsor, and its sponsors, ILM, Lucasfilm, and their respective agents and representatives, a worldwide, non-exclusive license to use, reproduce, communicate, modify and display the Submissions (and any related material, including project information, explanatory material, images, photos and/or videos, as well as any personal information obtained through the Competition) without any fee or other form of compensation, and without further notification or permission, for promotional purposes, including conducting, promoting and judging the Competition and advertising the Competition, future contests, and products and services.

That is incredibly cheesy and the prizes are miniscule for a contest of this magnitude. Smells like a marketing stunt; I can’t imagine ILM designers with any integrity wanting to promote this. Could be sadly mistaken. It reminds me of the NCAA making coin off ‘student-athletes’ likenesses with no recompense available to the students.
